1 General
These Terms of Use (“Terms”) constitute a contractual relationship between Gofore Oyj (1710128-9), “Gofore” and you (“you”) in relation to the use of Gofore’s online partner ecosystem portal available at gigs.gofore.com (later “Service” or “Gofore Gigs”). If you are representing a company, you guarantee that you are legally authorized to represent your organization and enter into legally binding commitments on behalf of your organization.
Gofore Gigs is a free internet service provided by Gofore. Gofore Gigs is intended for Gofore’s current and future professional partners (later “Partner(s)”) to find and apply to opportunities offered by Gofore. Gofore will publish their or third party’s need of expertise to the Service, to where Partners may offer their employee’s or if freelancer, themselves. Gofore Gigs is not a Service for job search (employment) or for consumers, but for subcontracting purposes between Gofore and Partners.
Content (”Content”) refers to any material on the Service presented in any form, such as gig postings, articles, images, advertisements, videos or statistical data. All Content in Gofore Gigs is owned and published by Gofore and Gofore reserves all rights thereto.
Your use of the Service constitutes your acceptance of and agreement to comply with the then-current Terms, any additional terms of use described in the Service, and the applicable laws and good usage practices. If you do not accept the Terms stated here, you cannot not use the Gofore Gigs Service. Users who violate these Terms may have their access and use of the Gofore Gigs suspended or terminated, at Gofore’s discretion.
Gofore may amend these Terms at its discretion by notifying you thereof in the Service or by other applicable channels. By accepting the amended Terms or continuing the use of the Service you accept the amended Terms.
2 Use of Gofore Gigs
Upon signing up for the Service and consenting to these Terms and the Privacy Policy of the Service you guarantee that you and your employees, whose data is entered to the Service, consent to the Privacy Policy of the Service and sharing of their data with Gofore and Gofore’s relevant customers or other relevant third parties whose project opportunities can be found from the Service.
By using the Service You agree that you bring your company or yourself as a freelancer to Gofore's attention and that Gofore may contact you outside of open gig postings, regarding a specific skill or expert that might suit Gofore’s customers or other third party’s needs.
The Service contains information concerning Gofore’s customers’ project assignments offering potential. You agree not to disclose to third parties any such information concerning Gofore or Gofore’s customers available in the Service or otherwise disclosed to you in context of discussions between you and Gofore in relation to partnerships, customers or Gofore’s business to third parties.
Any assignment, employment or other contract with a Partner executed based on or related to the project assignments offered in the Service and any other related terms shall be agreed on separately between you and Gofore. For clarity, Gofore’s listing of opportunities in the Service does not constitute an binding offer to enter into a subcontracting agreement with Partner, and Gofore reserves right to select the best suitable partner for each opportunity or refrain from selecting any partner for any specific opportunity. By offering an employee your company, or yourself as a freelancer for a gig posting, it is assumed that this expert or you will be available for use according to the requirements of the gig. If experts offered by You are not available for the opportunities as indicated by You, or experts offered by You are clearly not meeting the requirements indicated by Gofore, Gofore may at its discretion terminate these Terms and Your use of the Service.
Gofore Gigs users agree not to:
- Take any action that imposes an unreasonable or disproportionately large load on Service or endangers the data security of the Service.
- Post any personal information, or apply for any gig posting on behalf of any third party.
- Share with a third party any login credentials to the Service.
A user representing an organisation or themselves as a freelancer may use the Content for their own reasonable and lawful professional use, subject to the limitations of use described in these Terms of Use.
You are responsible for your own devices, software, systems and connections you use to access the Service as well as their security. You agree not to cause errors, disruption or other damage to the Service, Gofore or third parties. Violations of Service or network security may result in civil and/or criminal liability.
You are responsible for maintaining the confidentiality of your own account and your company account, as applicable. You shall be responsible for all uses of your company’s Service registrations and use. You agree to immediately notify Gofore of any unauthorized use of your account or your company account. If you violate these Terms or if Gofore has reasonable reasons to believe that you are violating them, Gofore may terminate these Terms and your use of the Service at its discretion.
3 Gofore’s liability
As Gofore provides the Service to you for free, the Service and Content is provided on an “as available” and “as is” basis without any warranties of any kind, express or implied. Gofore will use reasonable efforts to ensure that the Service is continuously available and uninterrupted. Gofore may at its discretion update, modify, block and close the Service or a part of it.
To the maximum extent permitted by law, Gofore shall not be liable for any indirect, consequential or direct loss, damage or expense in relation to the Terms, the Service or Contents or Service non-availability, nor for any errors or interruptions caused by any reasons including technical faults, maintenance or installation work, telecommunication failures, or any change or loss of data or the like that may result therefrom.
4 Governing law and disputes
These Terms are governed by and shall be construed in accordance with the laws of Finland without regard to its choice of law provisions.
Any dispute, controversy or claim arising out of or relating to these Terms, or the breach, termination or validity thereof, shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce. The number of arbitrators shall be one. The seat of arbitration shall be Helsinki, Finland. The language of the arbitration shall be Finnish.
